First you must determine what each party to the contract wants to enforce or entitle each other to do. Also you need to plan or contract for what happens to the contract if either side does not fulfill their obligations to each other and what the ramifications of those actions or non-action will be. The contract must be designated to be under what laws it will be understood under(What State or jurisdiction) Each party must be of legal age and mentally able to contract an agreement. It must be enforceable and valid for each party. It must have the conditions spelled out as to the definitions of the terms used in the contract. It must have some sort of consideration, performance and term of contract spelled out. If it is a complex issue you should always consult a attorney in contractual law.
